These Terms and Conditions (“Terms”) govern your use of our website and services. By accessing or using this website or engaging our services, you agree to be legally bound by these Terms.

1. Scope of Engagement

Profile Fixers agrees to provide professional Google Business Profile reinstatement services (the "Services"). The Client acknowledges that Profile Fixers has no control over decisions made by Google LLC or its affiliates regarding reinstatement, which remain entirely within Google's discretion.

2. No Fix, No Fee - Conditional Fee Basis

Profile Fixers operates on a conditional fee basis, meaning no fee is payable unless reinstatement is achieved. However, the following actions by the Client shall make the full quoted fee payable immediately:

Revocation of managerial or administrative access during the engagement;
Failure to provide required documentation or information after reasonable request;
Direct engagement with Google or any third party duplicating the reinstatement service; or
Termination by the Client for convenience.

In such cases, Profile Fixers shall be entitled to recover payment on a quantum meruit basis, consistent with Way v. Latilla, 3 All E.R. 759 (H.L.).

3. Client Responsibilities

The Client agrees to:

Maintain uninterrupted managerial access throughout the duration of the Services;
Provide complete, truthful, and timely information as required;
Abstain from intervening directly with Google, unless expressly authorised by Profile Fixers in writing.

Revoking access or cooperation shall constitute a termination by the Client under clause 2.

4. Timescales and Extensions

Time shall not be of the essence unless expressly agreed in writing. Any estimated completion date is indicative only. Delays arising from Google's verification processes, client inaction, or unforeseen circumstances will automatically extend the performance period without breach.

5. Fees and Charges

All fees shall be as stated in the engagement confirmation form or quotation. Any additional services requested beyond the defined scope will be subject to a separate written agreement or supplementary quotation.

6. Payment Terms

All invoices are payable in full within fifteen (15) calendar days from the date of issue. Late payments accrue statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998, at a rate of 8% above the Bank of England base rate, together with reasonable recovery costs under sections 5A and 6 of that Act. No right of set-off or deduction shall apply to any sums owed under this Agreement.

7. Limitation of Liability

Profile Fixers shall not be liable for any loss or damage (direct, indirect, or consequential) arising from actions or omissions of Google LLC or any third party involved in the reinstatement process. The total aggregate liability of Profile Fixers for any claim shall not exceed the total amount of fees paid under this Agreement. Nothing herein shall exclude liability for death or personal injury caused by negligence, consistent with section 65 of the Consumer Rights Act 2015.

8. Termination

Profile Fixers may terminate this Agreement immediately by written notice if the Client breaches any material term or fails to make payment when due. Upon termination by the Client prior to completion (for reasons other than breach by Profile Fixers), all work completed up to the date of termination will be chargeable at the agreed rate.

9. Confidentiality

Both parties shall maintain the confidentiality of any proprietary or sensitive information disclosed during the course of the engagement and shall not share such information with third parties without prior written consent, except as required by law.

10. Governing Law

This Agreement and any dispute or claim arising from or in connection with it shall be governed by and construed in accordance with the laws of England and Wales. Each party irrevocably submits to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to These Terms

We may update these Terms from time to time. Updated versions will be posted on this page and will be effective immediately upon publication.
